A Scouting Report On This Year's Draft: The Revised NI 43-101
The Canadian Securities Administrators (CSA) published a revised National Instrument 43-101 (Standards of Disclosure for Mineral Projects) for public comment on April 23, 2010. The revisions are meant to address a number of industry and regulatory concerns that have developed since the CSA implemented NI 43-101 in 2001.
A public consultation in the spring of 2009 gave CSA further ideas on where NI 43-101 could be modified to make compliance easier for issuers, tighten investor-protection provisions, and distribute responsibility fairly between issuers, qualified persons, and market participants.
The proposed revisions change the technical report form (Form 43-101F1) to better fit projects at all stages of development, to make disclosure requirements clearer, and to allow qualified persons to determine what information is relevant for investors at a particular project's stage of development. The guidance in the companion policy (43-101CP) has been completely revised to respond to demands for better guidance from issuers and qualified persons.
This presentation will provide an overview of the principal revisions the CSA has proposed for NI 43-101 and the Technical Report with an opportunity for questions following the presentation.
